Terms of Service

1. Agreement to Terms

By installing or using Chapters ("the App"), you agree to be bound by these Terms of Service ("Terms"). The App is provided by Pixipace ("we", "us", or "our").

If you do not agree to these Terms, do not install or use the App. These Terms apply to all users of the App, including merchants and their customers.

2. Description of Service

Chapters is a Shopify application that enables merchants to:

• Create and organize online video courses
• Host and stream video content securely
• Sell courses through Shopify's checkout
• Automatically enroll customers upon purchase
• Create and administer examinations and assessments, including timed sittings and paid retakes
• Issue branded certificates to students on completion
• Schedule and host live classes via Zoom
• Track student progress and analytics
• Provide customers with a learning portal

3. Account Requirements

To use Chapters, you must:

• Have an active Shopify store
• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree NOT to use the App to:

• Upload or distribute content that infringes intellectual property rights
• Distribute malware, viruses, or harmful code
• Engage in fraudulent or deceptive practices
• Violate any applicable laws or regulations
• Upload illegal, harmful, or offensive content
• Attempt to gain unauthorized access to our systems
• Resell or redistribute the App without authorization
• Use the App for any purpose other than its intended use

5. Content Ownership

5.1 Your Content

You retain all rights to the content you create and upload to Chapters, including course materials, videos, and descriptions. By uploading content, you grant us a limited license to store, display, and transmit your content solely for the purpose of operating the App.

5.2 Our Content

The App, including its design, features, and documentation, is owned by Pixipace and protected by intellectual property laws. You may not copy, modify, or distribute any part of the App without our written consent.

6. Payment and Billing

Chapters is free to install. Instead of a monthly subscription fee, our charges work as follows:

• We charge a 5% commission on course, exam, retake, and paid-certificate sales.
• An optional video-storage add-on is available at $4 per 25 GB per month for storage used beyond the included 30 GB.
• All charges are billed through Shopify's app-billing system and appear on your Shopify invoice.
• Shopify's own payment-processing fees are separate and are not included in our charges.
• Pricing is subject to change with 30 days notice.
• Refunds are handled according to Shopify's app billing policies.
• You are responsible for any applicable taxes.
• Failure to pay may result in service suspension.

There is no monthly subscription fee for using Chapters.

7. Third-Party Services

Chapters integrates with third-party services:

• Shopify: Platform integration, governed by Shopify's terms
• Bunny.net: Video hosting and streaming services

We are not responsible for the availability, reliability, or policies of third-party services. Your use of these services is subject to their respective terms.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with reasonable notice
• Experience temporary outages due to circumstances beyond our control
• Modify or discontinue features with reasonable notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PAST 12 MONTHS

10. Indemnification

You agree to indemnify and hold harmless Pixipace, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App, your content, or your violation of these Terms.

11. Termination

Either party may terminate this agreement at any time:

• By You: Uninstall the App from your Shopify store
• By Us: Suspend or terminate access for Terms violations

Upon termination, your access to the App will cease, and your data will be deleted according to our Privacy Policy.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration as a last resort

These Terms are governed by the laws of the jurisdiction where Pixipace is registered.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes through the App or via email. Continued use of the App after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
